INC-22: Notice of Situation or Change of Registered Office
Prepare the details for notifying the ROC of the registered office address, or of a change in it, in Form INC-22.
What it is
Under Section 12 of the Companies Act, 2013, a company must have a registered office and notify the Registrar of its situation and of every change. A change within the same city, town or village is approved by the board; a change to another place in the same State under a different ROC, or to another State, needs further approvals. The notice is filed in Form INC-22 with proof of the new address and the owner's NOC.

The notice of change is filed within 30 days of the change. A change outside the local limits of the city needs a special resolution, and a change to another ROC in the same State needs confirmation by the Regional Director; a change to another State needs alteration of the memorandum with approval. Documents include the utility bill, NOC and rent agreement where applicable.
