NOC for Registered Office (MCA)
Get the owner's consent to use a property as the registered office of a company, for SPICe+ or a change of registered office.
What it is
Every company must have a registered office capable of receiving communications (Section 12 of the Companies Act, 2013). Where the premises are not owned by the company, the MCA filing for incorporation (SPICe+) or for change of registered office (Form INC-22) needs a no objection certificate from the owner, along with proof of address such as a recent utility bill. This template is the owner's NOC.

A utility bill not older than two months, in the name of the owner, is usually attached as proof of address, along with a rent agreement where applicable. The registered office address must be painted or affixed outside the premises and printed on letterheads. The same premises can also be used for GST registration, which needs its own documents.
