What it is

A service agreement is a contract between a service provider and a client that defines what will be delivered, when, and for what payment, along with confidentiality, intellectual property and liability terms. It records that the provider works as an independent contractor, not an employee.

A service agreement does not need registration. Stamp duty on agreements is charged under the State's Stamp Act and varies by State. GST is charged on the fees where the provider is registered, and the client may have to deduct TDS on payments for professional or technical services or contract work, depending on the nature of the service and the amounts involved.

Frequently asked questions

What is the difference between a service agreement and an employment contract?

A service agreement engages an independent business to deliver defined services; the provider controls how the work is done and issues invoices. An employee works under the employer's control and receives salary, with statutory benefits such as PF and gratuity where applicable.

Should GST be included in the fee?

The agreement should state whether the fee is exclusive or inclusive of GST. The template lets you choose, and it is common to state fees exclusive of GST.

Who owns the work product under a service agreement?

Ownership depends on the IP clause. Clients often take ownership of deliverables on payment, while the provider keeps its pre-existing tools and know-how. Adjust the clause to match what has been agreed.
