What it is
A memorandum of understanding sets out the purpose, scope and roles agreed between two parties who plan to work together. Whether an MoU is legally binding depends on its wording and the intention of the parties; the template lets you choose whether it is binding or non-binding, apart from standard clauses like confidentiality.

Stamp duty, registration and filing
An MoU does not need registration. If it creates enforceable obligations it is treated like an agreement for stamp duty under the State's Stamp Act. Make sure the MoU clearly says which clauses, if any, are binding.
