Form DIR-2: Consent to Act as Director
Prepare a person's written consent to be appointed as a director of a company, and download it as a Word file.
What it is
Under Section 152(5) of the Companies Act, 2013, a person appointed as a director must give written consent to act as director in Form DIR-2, as required by Rule 8 of the Companies (Appointment and Qualification of Directors) Rules, 2014. The company files the consent with the Registrar.
When it is used
- Incorporating a new company (attached to SPICe+).
- Appointing an additional, nominee or regular director.
- Regularising an additional director at the AGM.

DIR-2 is signed by the director and attached to Form DIR-12 (for an existing company) or SPICe+ (at incorporation), which is filed within 30 days of the appointment. The director also gives a declaration of non-disqualification in Form DIR-8. Attach self-attested proof of identity and address as required.

Is DIR-2 filed separately with the MCA?
No. It is attached to Form DIR-12 or SPICe+, which the company files with the Registrar.
Does a person need a DIN before signing DIR-2?
For appointment in an existing company, yes. At incorporation, DINs for up to three directors can be allotted through SPICe+.
What is the difference between DIR-2 and DIR-8?
DIR-2 is the consent to act as director. DIR-8 is the director's declaration that they are not disqualified under Section 164 of the Companies Act, 2013.
