No. Udyam registration on the Ministry of MSME’s portal is free.

What investment and turnover limits decide micro, small or medium for Udyam?

Under S.O. 1364(E): micro up to Rs 2.5 crore investment and Rs 10 crore turnover; small up to Rs 25 crore and Rs 100 crore; medium up to Rs 125 crore and Rs 500 crore. Both tests must be met, and export turnover is left out of turnover.

Can a trader get Udyam registration?

Retail and wholesale traders can register on Udyam, but only for priority-sector lending. They are generally treated as outside the delayed-payment protection of the MSMED Act and Section 43B(h).

Udyam registration is the online registration of a micro, small or medium enterprise (MSME) with the Ministry of Micro, Small and Medium Enterprises. It is done on the government’s Udyam portal on the basis of a self-declaration, and no government fee is charged. The enterprise is classified as micro, small or medium by its investment in plant and machinery or equipment and its turnover; from 1 April 2025 the limits are those in notification S.O. 1364(E). The Udyam number is used for MSME schemes, priority-sector lending, government tenders and the delayed-payment protection under the MSMED Act, 2006. SKAG and Associates helps proprietors, firms, LLPs and companies in Delhi work out the classification from their returns and accounts, and completes the registration and later updates.

Udyam registration: the rules

Micro, small and medium: the limits from 1 April 2025

Notification S.O. 1364(E) dated 21 March 2025 raised the limits with effect from 1 April 2025. The same limits apply to manufacturing and services.

CategoryInvestment in plant and machinery or equipmentTurnover
MicroUp to Rs 2.5 croreUp to Rs 10 crore
SmallUp to Rs 25 croreUp to Rs 100 crore
MediumUp to Rs 125 croreUp to Rs 500 crore

An enterprise must be within both limits for a category; if it crosses either, it moves to the next. Turnover from exports is excluded. The MSME / Udyam classification tool applies these limits.

Who can register

 • Proprietorships, Hindu undivided families, partnership firms, LLPs, companies, co-operatives, societies and trusts carrying on manufacturing or services.
 • One registration per enterprise, covering all its units and offices.
 • Retail and wholesale traders can register, but only for priority-sector lending.
 • Informal micro units that do not have a PAN or GSTIN can be registered through the Udyam Assist Platform.

Payments from buyers: the 45-day rule

Under Section 15 of the MSMED Act, 2006, a buyer must pay a micro or small supplier by the date agreed in writing, which cannot be more than 45 days from acceptance of the goods or services. Where there is no written agreement, the limit is 15 days. On late payment, Section 16 makes the buyer liable to compound interest at three times the bank rate notified by the RBI. Medium enterprises are not covered.

For the buyer, the income-tax deduction for an amount due to a micro or small enterprise is allowed only in the year it is actually paid, unless it is paid within the time in Section 15 (Section 43B(h) of the Income-tax Act, 1961; Section 37(2)(g) of the Income-tax Act, 2025 from Tax Year 2026-27). The MSME payment tracker works out the dates. Companies also report dues to micro and small suppliers outstanding for more than 45 days in the half-yearly MSME Form I to the MCA.

After registration

 • Keep the details on the portal current: address, units, activities and bank account.
 • The classification is worked out from income-tax and GST data, so an enterprise that grows can move to a higher category.
 • Show the Udyam number on invoices and state the payment terms in writing, so that buyers can apply the 45-day rule.
 • Udyam is not proof of the place of business for GST registration; see GST registration in Delhi.

Common mistakes

 • Paying a website for registration. Registration on the government portal is free.
 • Counting export turnover. It is excluded, so an exporter may still be micro or small.
 • Not updating details. An address or activity that no longer matches the business causes problems with banks and buyers.
 • Assuming a trader is protected. Traders are registered for priority-sector lending only.

Frequently asked questions

Is Udyam registration compulsory? +

No law makes it compulsory for every business, but it is needed to claim MSME benefits, including priority-sector lending, many government schemes and tenders, and the delayed-payment protection under the MSMED Act.

Is Udyam registration valid for life? +

There is no renewal. The registration stays valid, but the details should be kept up to date on the portal, and the category can change as investment and turnover change.

Can I have more than one Udyam registration? +

No. One enterprise has one Udyam registration. Additional factories, shops or offices are added as units in the same registration.

Does Udyam registration replace GST registration? +

What can a micro or small supplier do if a buyer does not pay within 45 days? +

The supplier can claim interest under Section 16 of the MSMED Act and can apply to the Micro and Small Enterprise Facilitation Council through the MSME Samadhaan portal.
