What it is
A SaaS agreement gives a customer the right to access and use software hosted by the provider for a subscription fee, without owning a copy. It covers the number of users, the fees and billing cycle, the uptime commitment and service credits, support hours, how customer data is stored and protected, who owns the IP and the data, renewal and what happens to data when the subscription ends.

Stamp duty, registration and filing
GST applies on the subscription fee; services supplied by a provider outside India to Indian customers fall under separate GST rules for online services. Where the provider processes personal data for the customer, the Digital Personal Data Protection Act, 2023 and the DPDP Rules, 2025 apply as they come into force, so the agreement should include processing and breach terms. The TDS treatment of software payments depends on the nature of the payment; check it for the year. Electronic signatures are valid under the Information Technology Act, 2000.
