What it is

An LLP is governed by its LLP agreement under the Limited Liability Partnership Act, 2008. Any change to that agreement, such as admitting a partner, a partner ceasing, or revising contribution or profit-sharing, is made by a supplementary agreement signed by the partners. The changes are then filed with the Registrar so the public record matches.

When it is used

  • Admitting a new partner or designated partner.
  • A partner resigns, retires or dies.
  • Changing capital contribution or the profit-sharing ratio.

What the template covers

  • LLP name, LLPIN and registered office
  • Continuing, incoming and outgoing partners
  • Effective date of the change
  • Revised contribution and profit-sharing ratio
  • Settlement with the outgoing partner
  • Confirmation of other terms of the LLP agreement
