The annual return of a listed company, or one with paid-up capital of ₹10 crore or more or turnover of ₹50 crore or more, is certified by a practising company secretary in Form MGT-8. Late filing attracts an additional fee for each day of delay, and continued default can lead to director disqualification. The company places the annual return on its website, if it has one.
