ECB framework summary:
  • Annual limit: USD 750 million per borrower (FY) under automatic route. Beyond requires approval.
  • Recognised lenders: Internationally-recognised banks, multilateral / regional financial institutions, foreign equity holders (with minimum equity threshold), foreign branches of Indian banks.
  • End-use: Generally permitted for capital expenditure, working capital, refinancing of existing ECBs, on-lending by NBFCs. Real estate (except for self-use), capital market investments, equity investments are restricted end-uses.
  • Reporting: Form 83 for Loan Registration Number within 7 days of loan agreement; ECB-2 monthly return by 7th of next month.
  • Hedging: Mandatory for certain categories (e.g., infrastructure, NBFC) where average maturity is below specified threshold.
  • Cost ceiling: Benchmark rate (SOFR / risk-free reference) plus 500 basis points spread.
